Officially Forming a KUB: Bank Jatim and Bank NTT Sign Shareholders' Agreement.

SURABAYA, December 16, 2024. Approaching the end of 2024, PT Bank Pembangunan Daerah Jawa Timur Tbk (bankjatim) continues to strengthen its Bank Business Group (KUB). On Monday (16/12), Bank NTT officially became the fourth bank to undergo the KUB process with bankjatim. This milestone was marked by the signing of a Shareholders' Agreement (SHA) at the Bank Jatim Head Office. The agreement was signed by bankjatim President Director Busrul Iman and the Acting Governor of NTT, Andriko Noto Susanto.
In addition to the SHA, a Compliance Deed was signed by Busrul Iman and the Acting President Director of Bank NTT, Yohanis Landu Praing. The ceremony was witnessed by the Acting Regional Secretary of East Java, Bobby Soemiarsono, along with the Boards of Commissioners and Directors of both bankjatim and Bank NTT.
Bobby Soemiarsono stated that the East Java Provincial Government remains committed to providing full support to the KUB. They are ready to collaborate with all stakeholders to create a better business climate, provide incentives for sectors in need, and encourage broader job creation. ”Today’s signing of the Shareholders' Agreement marks a significant step in the history of both banks. bankjatim, as the Anchor Bank (Parent), alongside the NTT Provincial Government and Bank NTT, now share a unified vision to build, strengthen, and enhance the role of regional banks (BPD) to support regional financial transactions and drive economic growth,” he explained.
Strategic Synergy and Exponential Growth
Busrul Iman noted that the KUB is a powerful momentum for both parties to strengthen not only their institutional structures but also their business models. Through this SHA, both banks are committed to developing regional economic potential.
”This collaboration is essential for BPDs to innovate and transform to compete in a tightening banking industry. bankjatim will continue to initiate strategic moves and share experiences with all KUB members. Business today cannot just grow linearly; it must grow exponentially. Through this KUB, we aim to grow both organically and inorganically,” Busrul explained.
He emphasized that the SHA signing is a phase in fulfilling OJK Regulation (POJK) No. 12/POJK.03/2020 regarding Commercial Bank Consolidation. ”Following this SHA, we will conduct due diligence regarding legality, taxation, and other aspects. For capital participation, we will inject between IDR 50 billion to IDR 100 billion into Bank NTT,” he added.
Digitalization and Remittance Synergy
Busrul hopes this partnership will provide significant benefits in areas such as digitalization and remittance. ”The spirit of KUB is the spirit of collaboration. We hope to share infrastructure and experience to make our cooperation more efficient,” he concluded.
Acting Governor of NTT, Andriko Noto Susanto, expressed his gratitude for the opportunity to collaborate. ”We want to share knowledge, human resources, and best practices. bankjatim is a strong BPD with significant core capital and professional talent. We believe this will contribute greatly to Bank NTT’s development,” he asserted.
Acting President Director of Bank NTT, Yohanis Landu Praing, added that the synergy would focus on IT development, risk mitigation, and corporate governance. ”bankjatim is highly experienced in IT and MSMEs. Furthermore, as Bank NTT is now a Foreign Exchange Bank, we can collaborate with bankjatim on remittance services to provide added value. We will follow the strategic steps taken by bankjatim,” Yohanis stated.
